About company registration in Bangladesh
When considering the formation of a new company or the relocation of an existing one to Bangladesh, keep in mind that the majority of Bangladeshi businesses are formed as private limited liability companies (also known as private limited companies). You should be aware that there is a provision for a One Person Company (OPC). However, due to certain constraints, we do not recommend that our clients form an OPC. In Bangladesh, a private limited company is a separate legal entity, and shareholders are not liable for the company’s debts beyond the amount of share capital contributed. Any person (foreign or local) over the age of 18 can register a company in Bangladesh, according to the Companies Act 1994.
